Welcome to Purpose Forward Technical Solutions Inc. (PF TECH, we, us, our, or Company), a Canadian corporation established to empower non-profits through intelligent technology. These Terms and Conditions (Terms, Agreement) govern your access to and use of our website located at https://www.purposeforwardtech.com/ and all associated services, including the AImpactNFP Suite (the Service, Services).

By accessing or using our Service, you explicitly agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access or use our Services. These Terms apply to all visitors, users, and others who access or use our Services.

These Terms constitute a legally binding agreement between you and PF TECH. Your access to and use of our Services is conditioned on your acceptance of and compliance with these Terms. Please read these Terms carefully before using our Service.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization. In that case, you and your will refer to that organization.

1. About PF TECH: Our Mission

Purpose Forward Technical Solutions Inc. is a Canadian federally registered corporation launched in August 2025. Our mission is to empower non-profits and social enterprises to streamline operations, enhance data-driven decision-making, and scale their impact through intelligent, accessible integration tools, without needing deep technical expertise. We achieve this through our AImpactNFP Suite and specialized services, all built on a foundation of lived experience in the charitable sector.

2. Use of the Service: Empowering Your Mission, Responsibly

2.1. Permitted Use: Amplifying Your Impact

You may use our Service for lawful purposes only and in accordance with these Terms. You agree to use the Service only for purposes that are legal, proper, and in accordance with these Terms and any applicable laws or regulations.

Specifically, you may use the Service to:

• Learn about PF TECH AImpactNFP products and services
• Access and utilize the features and functionalities of your subscribed AImpactNFP products (e.g., AImpactLINK, AImpactFUNDS, AImpactBI, AImpactPROOF, AImpactBOT)
• Create, manage, and interact with your user account and organizational data within the AImpactNFP Suite
• Request consultations for custom solutions or speaking engagements
• Access resources, tools, and information we provide
• Subscribe to our newsletters and communications
• Submit support requests and communicate with our team
• Provide feedback on beta programs and product development

2.2. Prohibited Use: Maintaining Trust and Integrity

You agree not to use the Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or local regulations, rules, laws, or ordinances, including privacy laws like PIPEDA
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information, or misrepresent your affiliation with any person or entity
• To upload or transmit viruses, malware, or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet
• To collect or track the personal information of others from the Service without their explicit consent and in compliance with applicable privacy laws
• To spam, phish, pharm, pretext, spider, crawl, or scrape any portion of the Service, its content, or data, or for any obscene or immoral purpose
• To interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet
• To engage in any other conduct that restricts or inhibits anyone use or enjoyment of the Service, or which, as determined by us, may harm PF TECH or users of the Service or expose them to liability

3. User Accounts and Registration: Your Gateway to Impact

When you create an account with us for the AImpactNFP Suite, you must provide information that is accurate, complete, and current at all times. You are solely responsible for safeguarding the password and for maintaining the confidentiality of your account information.

You agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the security of your password and accept full responsibility for all activities that occur under your account, whether or not you authorized such activities
• Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, particularly if we believe you have violated these Terms, engaged in fraudulent activity, or compromised the security or integrity of our Services.

4. AImpactNFP Suite and Services: Designed for Your Mission

PF TECH provides various products within the AImpactNFP Suite and specialized services to organizations in the social purpose sector. Our products and services are subject to availability and may be modified, suspended, or discontinued at any time without notice.

• AImpactNFP Products: Our core offering includes integrated software-as-a-service (SaaS) products (AImpactLINK, AImpactFUNDS, AImpactBI, AImpactPROOF, AImpactBOT) designed for specific operational challenges within nonprofits.
• Beta Programs: Participation in our beta programs (e.g., for AImpactLINK, AImpactFUNDS, AImpactBI, AImpactPROOF) is offered subject to specific terms and conditions, including eligibility criteria, feedback requirements, and potential limitations on functionality. We reserve the right to modify or terminate beta programs with reasonable notice.
• Custom Solutions: When you engage our custom development services, additional terms and conditions may apply as outlined in separate service agreements or statements of work. These additional terms supplement but do not replace these general Terms.
• Speaking and Thought Leadership: Engagement for speaking services is subject to separate agreements.

Payment terms for all products and services will be specified in separate agreements or during the subscription process. Generally, payment is due within the agreed-upon timeframe. Late payments may be subject to interest charges as permitted by law.

5. Intellectual Property Rights: Our Innovation, Your Empowerment

The Service and its original content, features, and functionality (including but not limited to the AImpactNFP Suite, our website content, software, graphics, logos, and trademarks) are and will remain the exclusive property of Purpose Forward Technical Solutions Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of Canada and international conventions. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Content Ownership:

All content on the Website and within the AImpactNFP Suite, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of PF TECH or its content suppliers and is protected by copyright and other intellectual property laws.

Limited License:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or organizational use, in accordance with these Terms and your specific subscription plan. This license does not include any right to:

• Resell or make commercial use of the Service or its contents beyond your internal operations
• Make derivative use of the Service or its contents
• Download or copy account information for the benefit of third parties (unless explicitly enabled by product features for legitimate sharing purposes)
• Use data mining, robots, or similar data gathering and extraction tools on the Service

User-Generated Content:

If you submit content, data, or feedback to the Service (e.g., through support requests, beta feedback, or within AImpactNFP features that allow user input), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the Service and our business, including for product improvement and development, provided such use is in compliance with our Privacy Policy.

6. Privacy and Data Protection: Your Trust, Our Commitment

Your privacy is paramount to us. Our dedicated Privacy Policy (available at /privacy-policy) comprehensively explains how we collect, use, disclose, and protect your personal information when you use our Service and the AImpactNFP Suite. By accessing or using our Service, you agree to the collection and use of your information in accordance with our Privacy Policy. We are committed to data sovereignty and privacy and adhere strictly to Canadian (PIPEDA) and applicable international privacy laws.

7. Third-Party Services and Integrations: Seamless, Yet Separate

Our Service and AImpactNFP Suite integrate with or may contain links to third-party websites, applications, or services that are not owned or controlled by PF TECH. We leverage various trusted third-party platforms (e.g., Supabase for database, Stripe for payments, OpenAI/Anthropic/Google for LLMs, Netlify for hosting) to provide our services effectively.

No Control:

PF TECH has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites, services, or LLM outputs not directly controlled by our application logic. You acknowledge and agree that PF TECH shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

Third-Party Terms:

Your use of third-party services, including those integrated into the AImpactNFP Suite, is subject to their respective terms and conditions and privacy policies. We encourage you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.

Integration Services:

When we provide services that integrate with third-party platforms, we act as a service provider to facilitate your use of those platforms. We are not responsible for the availability, functionality, or security of third-party platforms or the accuracy of data they provide.

8. Disclaimers and Limitations of Liability: Transparency in Service

8.1. Service Disclaimers: As Is Basis

The Service and AImpactNFP Suite are provided on an AS IS and AS AVAILABLE basis. To the fullest extent permitted by law, Purpose Forward Technical Solutions Inc. excludes all representations, warranties, conditions, and other terms which might otherwise be implied by statute, common law, or the law of equity.

• Service Availability: We do not guarantee that the Service will be available at all times, uninterrupted, secure, or free from errors, viruses, or other harmful components. We reserve the right to suspend or terminate the Service for maintenance, updates, or other reasons at our sole discretion.
• Professional Advice: The content on our Service is for informational purposes only and does not constitute professional advice. You should consult with qualified professionals (e.g., accountants, lawyers, IT specialists) before making decisions based on information from our Service or outputs from AI features.
• No Warranties: We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, and links within the Service. We specifically disclaim any warranty of fitness for a particular purpose or non-infringement.

8.2. Limitation of Liability: Our Responsibility

To the fullest extent permitted by applicable law, Purpose Forward Technical Solutions Inc., its officers, directors, employees, agents, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the Service or AImpactNFP Suite
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service
• The reliance on any output or recommendation provided by AI features within the AImpactNFP Suite, as all such outputs should be reviewed and verified by a human expert

Maximum Liability: In no event shall PF TECH total liability to you for all damages, losses, and causes of action (whether in contract, tort, including negligence, or otherwise) exceed the amount paid by you, if any, for accessing or using the Service during the twelve (12) months immediately preceding the date of the claim.

9. Indemnification: Your Commitment

You agree to defend, indemnify, and hold harmless Purpose Forward Technical Solutions Inc., its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, or demands, liabilities, and settlements, including without limitation reasonable legal and accounting fees, resulting from or alleged to result from:

• Your use of and access to the Service and AImpactNFP Suite
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Service caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Service.

10. Termination: When Our Journey Ends

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms, fail to make timely payments, or misuse the AImpactNFP Suite.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

Survival: All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Jurisdiction: Canadian Roots

These Terms shall be interpreted and governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or provincial courts located in Ontario, Canada, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

If you are accessing the Service from outside Canada, you are responsible for compliance with local laws in your jurisdiction.

12. Dispute Resolution: Resolving Differences Respectfully

We encourage you to contact us first to resolve any disputes. Most concerns can be resolved quickly and to your satisfaction by contacting our support team at [email protected].

For disputes that cannot be resolved through direct communication, the parties agree to attempt to resolve the dispute through mediation before pursuing litigation. Any mediation will be conducted in Ontario, Canada, in accordance with the mediation rules of the ADR Institute of Ontario.

If mediation is unsuccessful, any legal action must be brought in the courts of Ontario, Canada, as specified in the Governing Law section above.

13. General Provisions: The Fine Print

13.1. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific AImpactNFP products or services, constitute the entire agreement between you and Purpose Forward Technical Solutions Inc. regarding the use of the Service and supersede all prior and contemporaneous written or oral agreements between you and PF TECH.

13.2. Modifications

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

13.3. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

13.4. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Purpose Forward Technical Solutions Inc.

13.5. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
